Unit aim

The unit introduces students to corporate governance - one of the most important developments in business. The abuses and excesses of the takeover era and the exponential growth of the institutional investor have transformed the roles of shareholders, managers, and directors of publicly held companies. This unit explains how modern corporate governance has evolved, the trends and changes taking place and the likely impact of those changes. Students will be assisted to develop skills in applying techniques for effective corporate governance.

Topic 2: Corporate Ownership, Power, Performance and Accountability

Topic 3: Board Knowledge, Committee Structure and Codes of Conduct

Topic 4: Board Review and Development and Corporate Strategy and Performance Measurement

Topic 5: Corporate Governance in the Global Business Environment and in Diverse Organisational Settings

Topic 6: Corporate Governance and Corporate Social Responsibility

3 Demonstrate the capacity to exercise judgement under minimal supervision to solve emerging and or advanced corporate governance problems in complex contexts using social, ethical, economic, regulatory and global perspectives
4 Justify and communicate corporate governance advice, guidance and ideas in complex collaborative contexts involving both professionals and non-professionals in the corporate governance field
