Learning outcomes

Unit Learning Outcomes express learning achievement in terms of what a student should know, understand and be able to do on completion of a unit. These outcomes are aligned with the graduate attributes. The unit learning outcomes and graduate attributes are also the basis of evaluating prior learning.

On completion of this unit, students should be able to:

Describe and critically discuss the issues underlying the regulation of company law and business structures in Papua New Guinea, noting the similarities and differences to Australian law.

Explain the legal issues and the relevant law applicable to corporate governance, directors’ and officers’ duties, conflicts, care and diligence, and the rights and remedies of members during times of distress.

Describe the legal issues in corporate fundraising, debt finance and share capital fact situations and explain the relevant legal principles to the resolution of these issues.

Explain legislation and case law relevant to company law.
