Unit description

Provides the opportunity to research and analyse relevant legislation and case law and critically examine the role played by corporate law in modern society. Key legal principles will be explored with particular reference to the development of corporate law, rights and remedies of members, internal structure and corporate governance, obligations and responsibilities of corporate officers and insolvency administrations.

Unit content

Module 1:  Australian corporations law in context, the corporate personality and the incorporation process

Module 2: The corporate constitution and company contracts

Module 3:  Corporate fundraising: Equity and debt finance

Module 4:  Corporate governance, financial reporting & disclosure and members' remedies

Module 5:  Company directors’ and officers' duties

Module 6:  Corporate insolvency and external administration

Learning outcomes

Unit Learning Outcomes express learning achievement in terms of what a student should know, understand and be able to do on completion of a unit. These outcomes are aligned with the graduate attributes. The unit learning outcomes and graduate attributes are also the basis of evaluating prior learning.

On completion of this unit, students should be able to:

identify and evaluate the underlying themes and issues and the key legal principles relating to corporations law

apply legal reasoning and research to corporate law issues

explain policy issues which arise in corporate law, including the need for law reform where the law is considered deficient

apply legal reasoning and research o find, access, manage and evaluate relevant resources to formulate solutions to corporate law issues and problems.
