Unit description

Covers those aspects of company law that are required to equip students for their future careers. Students will engage in teacher-directed activities with particular reference to such topics as the development of company law, types of business structures, rights of members, responsibilities and duties of company officers, company audit and accounts and corporate insolvency in PNG.

1 Describe and critically discuss the issues underlying the regulation of company law and business structures in Papua New Guinea, noting the similarities and differences to Australian law.
2 Explain the legal issues and the relevant law applicable to corporate governance, directors’ and officers’ duties, conflicts, care and diligence, and the rights and remedies of members during times of distress.
3 Describe the legal issues in corporate fundraising, debt finance and share capital fact situations and explain the relevant legal principles to the resolution of these issues.
4 Explain legislation and case law relevant to company law.

On completion of this unit, students should be able to:
