Unit description

Provides the opportunity to research and analyse the legal and regulatory framework governing partnerships and companies in the Australian context. Key legal principles will be explored with particular reference to such topics as the development of company and partnership law, types of companies, rights of members, responsibilities and duties of company officers, takeovers, and corporate insolvency.

Topic 2: The Australian Constitution and corporate law and the administration of corporate law
Topic 3: The creation of a company: Types of companies, promotion, formation and the company’s constitution
Topic 4: The capacity of the company and its agents and the rights of its members
Topic 5: Management
Topic 6: Financing and corporation
Topic 7: Takeovers
Topic 8: External administration

Learning outcomes and graduate attributes

Unit Learning Outcomes express learning achievement in terms of what a student should know, understand and be able to do on completion of a unit. 3 demonstrate the capacity to apply critical judgment including analysis, reasoning, and appropriate directed research to partnership and/or corporate law topics
4 demonstrate an ability to learn and work independently within broad parameters as defined by the assessment requirements. Included here is the capacity to find, access, manage and evaluate sources of information relevant to partnership and corporate legal issues
5 demonstrate the capacity to communicate appropriately and effectively, expressed in well-written, clear and logical language that is supported with appropriate references.
